Project-2 Go Green’s MISSION

Project-2 Go Green was created and is administered by, “Emerald Networkers LLC, Phoenix, AZ”.

Emerald Networkers LLC was created as a unique “Networking Partnership Membership Company” to contribute to the global movement towards going green. Going green has many different aspects; however, Emerald Networkers LLC's Project-2 Go Green Program has a particular interest in limiting the distribution of single-use disposable plastic bags.


To limit the distribution and consummation of disposable single-use plastic bags is to replace them with reusable shopping bags that are durable, attractive and 100% recyclable.


Emerald Networkers LLC's Project-2 Go Green “Revenue Sharing Program” provides the support to distribute through sales and the giving away of reusable recyclable plastic shopping bags, while providing the means to generate income for encouragement, motivation and support for the go green movement.


Throughout the world, single-use plastic shopping bags are being banned by the passing of new laws. Our goal is to conform to those new laws and provide a solution for the need to replace single-use disposable bags.


Our mission is accomplished as Referrals thrive from the opportunity made available improving the economy, which makes it easier to support living green.

 

Policies and Compensation Plan Incorporated Herein

This Statement of Policies, in its present form and as amended at the sole discretion of Emerald Networkers LLC, is incorporated into, and forms an integral part of Emerald Networkers LLC's Project-2 Go Green. Throughout these Policies, when the term “Agreement” is used, it collectively refers to Statement of Policies, Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Compensation Plan, the Emerald Networkers Partnership Membership Program Registration form (if applicable) and the Emerald Networkers LLC D-Right Reusable Store Affiliate program. It is the responsibility of each Emerald Networkers' Partnership Member and Affiliates to read, understand, adhere to, and ensure that he or she is aware of and operating under the most current version of this Statement of Policies.

 

MODIFICATIONS TO AGREEMENT

To maintain a viable Membership and to comply with governing federal, state, and local laws, and economic conditions, Emerald Networkers LLC reserves the right to amend the Agreement and its prices at its sole and absolute discretion. Such modifications shall be immediately binding upon notice of any such modifications. Notification of amendments shall be published by one or more of the following methods: (1) posting on the Emerald Networkers official websites; (2) electronic mail (e-mail); (3) inclusion in Emerald Networkers LLC's periodicals; (4) inclusion in product orders; and/or (5) special mailings. By signing the member agreement, and member agrees to abide by all amendments or modifications that Emerald Networkers LLC elects to make. The continuation of Emerald Networkers' partnership membership and acceptance of commissions also constitutes acceptance of any and all amendments.

 

Delays

Emerald Networkers LLC shall not be responsible for processing or shipping delays or for failures in performance of its obligations when performance is made commercially impracticable due to circumstances beyond its reasonable control. This includes, without limitation, strikes, labor difficulties, riot, war, fire, death, curtailment of a party’s source of supply, or government decrees or orders.

 

Policies and Provisions Severable

If any provision of the Agreement, in its current form or as may be amended, is found to be invalid or unenforceable for any reason, only the invalid portion(s) of the provision shall be severed, and the remaining terms and provisions shall remain in full force and effect. The severed provision or portion shall be reformed to reflect the purpose of the provision.

 

Emerald Networkers LLC's Project-2 Go Green Waiver

Emerald Networkers LLC never gives up its right to insist on compliance with the Agreement and all applicable laws governing the conduct of a member. Failure by Emerald Networkers LLC to exercise any right or power under the Agreement or to insist upon strict compliance by a member with any obligation or provision of the Agreement shall not constitute a waiver of Emerald Networkers LLC's right to demand exact compliance with the Agreement. Nor shall any custom or practice of the parties that is at variance with the terms of the Agreement constitute a waiver. Waiver by Emerald Networkers LLC of any violation of any provision of the Agreement can be effectuated only in writing by an authorized officer of the Emerald Networkers LLC's Project-2 Go Green waiver of any particular breach by a member shall not affect or impair Emerald Networkers LLC's rights with respect to any subsequent breach, nor shall it affect in any way the rights or obligations of any other Member. Nor shall any delay or omission by Emerald Networkers LLC to exercise any right arising from a breach affect or impair Emerald Networkers LLC's rights as to that or any subsequent breach. The existence of any claim or cause of action of an member against Emerald Networkers LLC shall not constitute a defense to Emerald Networkers LLC's enforcement of any term or provision of the Membership Agreement.

 

Member Waiver

Through acceptance of the Statement of Policies and by participating in Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Programs, it is understood and permission granted to Emerald Networkers LLC's Project-2 Go Green to use member's own image, voice, and likeness in any television broadcast, photograph, video, internet site, audio-recording, and in any and all of its publications, including website entries and social media (collectively, “promotional materials”) without payment or any other consideration. I understand and agree that these promotional materials will become the property of Emerald Networkers LLC and all other associated legal entities and will not be returned. Member irrevocably authorize Emerald Networkers LLC to edit, alter, copy, exhibit, publish, or distribute member's own image, voice, or likeness for purposes of publicizing or promoting the Emerald Networkers LLC"s Project-2 Go Green's products, memberships, income opportunity, or for any other lawful purpose. In addition, rights are waived to inspect or approve the finished product, including written or electronic copy, wherein likeness or voice appears. Additionally, rights are waived for any royalties or other compensation arising or related to the use of promotional materials. There will be no hold for harm and release is given and forever discharge Emerald Networkers LLC from all claims, demands, and causes of action which heirs, representatives, executors, administrators, consultants, or any other persons acting on child’s behalf, or on behalf of estate that may have by reason of this authorization.

 

Becoming an member

Members of Emerald Networkers LLC's Project-2 Go Green programs are granted a non-exclusive authorization to refer Emerald Networkers LLC's Memberships and or products in accordance with the terms and conditions set forth by Emerald Networkers LLC. Acceptance by Emerald Networkers LLC's Project-2 Go Green of Partnership Member's Registration does not constitute the sale of a franchise or distributorship. The agreement between Emerald Networkers LLC's Project-2 Go Green and its Partnership Members and Store Affiliates does not create an employer/employee relationship, agency, or joint venture between the Emerald Networkers LLC's Project-2 Go Green and the Partnership Member and Affiliates. The member shall not be treated as an employee for his or her services or for Federal or State tax purposes. All Members and Affiliates are responsible for paying local, state, and federal taxes due from all compensation earned as a partnership member of the Emerald Networkers LLC's Project-2 Go Green. The member/affiliate has no authority (expressed or implied), to bind Emerald Networkers LLC to any obligation. Each member shall establish his or her own goals, hours, and methods of Referrals, so long as he or she complies with the terms of the member agreements, this Statement of Policy, and applicable laws.

 

Registration Requirements

No requirement to register as free member and or store affiliate. To become an Emerald Networkers LLC's Project-2 Go Green Partnership Member, each member must:

  • Be of contractual age (usually 18) or manage by, in the jurisdiction in which they reside;

  • Reside in the United States or U.S. Territories;

  • Provide a valid Social Security or Federal Tax ID number, required by federal law for income reporting purposes;

  • Pay Emerald Networkers LLC's Project-2 Go Green's Partnership Member Fee to earn income from sponsoring.

 

Registering as a Business Entity

A corporation, limited liability partnership, non-profit or social organization, or trust (collectively referred to in this section as a “Business Entity”) may register to be a Emerald Networkers LLC's Project-2 Go Green member by completing the Member Registration form. Member may change its status under the same Referral from an individual to a business entity or from one type of entity to another. There is no fee for the change requested.

Regarding transfers and assignments of Emerald Networkers LLC's Partnership Membership; if an additional partner, shareholder, member, or other business entity is added to a business entity, the original applicant must remain as a party to the original Member Regisration. If the original member wants to terminate his or her relationship with Emerald Networkers LLC's Project-2 Go Green program, he or she must transfer or assign his or her membership in accordance with the terms of this policy. If this process is not followed, the Membership shall be canceled upon the withdrawal of the original Member. All commissions will be paid to the original Member. Please note that the modifications permitted within the scope of this paragraph do not include a change of sponsorship.

 

Change of sponsorship

Change of sponsorship is not allowed.

 

Member Benefits

Once registered, Free Members will have immediate access to member area for limited resources, free downloads, and store to purchase bags. After Free member upgrades by payment of appropriate monthly fee, all benefits will be immediately available. These benefits include the right to:

a) Refer Emerald Networkers LLC's Project-2 Go Green's Partnership Memberships and products;

b) Earn commissions when eligible based on Compensation Plan;

c) Receive complimentary reusable/recyclable bags, periodic literature and other communication;

d) Access to proprietary resources, support, and training.

 

ADHERENCE TO THE COMPENSATION PLAN

Member shall adhere to the terms of Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program's Compensation Plan, as set forth in official Emerald Networkers LLC's literature, and shall refrain from offering Emerald Networkers LLC's Project-2 Go Green's program through, or in combination with, any other system, memberships, or method of marketing other than that specifically set forth in official Emerald Networkers LLC's literature. Member shall not require or encourage other current or prospective Members to participate in Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program in any manner that varies from the Program as set forth in official Emerald Networkers LLC's literature. Member shall not require or encourage other current or prospective Member or Members to execute any agreement or contract other than official Emerald Networkers LLC's registration to become Emerald Networkers LLC's Project-2 Go Green Partnership Member.

Similarly, member shall not require or encourage other current or prospective Member or Members to make any purchase from, or payment to, any individual or other entity to participate in Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Program, other than those payments identified as recommended or required in official Emerald Networkers LLC's literature.

 

Advertising

All Members shall safeguard and promote the good reputation of Emerald Networkers LLC's Project-2 Go Green's Memberships, Program and products. The marketing and promotion of Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Program, the Marketing and Compensation Plan, and Emerald Networkers LLC's products shall be consistent with the public interest and must avoid all discourteous, deceptive, misleading, unethical, or immoral conduct or practices.

To promote both the products and the tremendous Emerald Networkers LLC's Project-2 Go Green Revenue Sharing and Affiliate Program offers, member should use the sales tools and support materials produced by Emerald Networkers LLC. The rationale behind this requirement is simple. “Emerald Networkers LLC has carefully designed its, products, product labels, Marketing and Compensation Plan, and promotional materials to ensure that each aspect of Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program is fair, truthful, and complies with the complex legal requirements of federal, state and local laws.

If Emerald Networkers LLC's Project-2 Go Green's Members were allowed to develop their own sales tools and promotional materials notwithstanding their integrity and good intentions, the likelihood that they would unintentionally violate any number of statutes or regulations affecting Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Program is almost certain. These violations, although they may be relatively a few in number would jeopardize the opportunity for all Members. Accordingly, Members may only use literature, advertisements, sales tools, and promotional materials created by Emerald Networkers LLC.

 

Member Websites & Social Media Sites

If member wishes to utilize an internet web page or social media site to promote his or her memberlink, he or she may do so through the Emerald Networkers LLC's Project-2 Go Green’s official electronic marketing system. Alternatively, member may develop his/her own web pages or sites. However, any member who does so (a) must use the text of Emerald Networkers LLC's Project-2 Go Green’s official websites; (b) may not supplement the content of his or her sites with text from any source other than the Emerald Networkers LLC's Project-2 Go Green’s member web pages or websites may not contain the phrase “As Seen on TV” or have any verbiage regarding infomercials. Those who develop or publish their own websites must register their site(s) with Emerald Networkers LLC and receive written approval from the Emerald Networkers LLC prior to its public availability.

If member wishes to register their website with Emerald Networkers LLC's, they must pay a $50 review fee. This review fee must be paid on an annual basis and is non-refundable, even if the subject site is not approved for registration. If the renewal fee is not paid, prior approval of the site may be withdrawn. Emerald Networkers LLC reserves the right to refuse to register or to revoke the registration of any member developed site that does not comply with the above requirements or otherwise violates any provision of this Statement of Policies. In the event an member developed site is approved for registration by Emerald Networkers LLC, Emerald Networkers LLC will supply member with an “ Approved” site logo for use on the approved website homepage for one year.

 

Blogs, Chat Rooms, Social Networks, Online Auctions, & Other Online Forums

When participating in online blogs, chat rooms, social networks, or any other online forum, member agrees that they shall not make claims about Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Programs including its Memberships and Products, unless such claims and promotions are in compliance with the requirements set forth here. The sale or advertisement of Emerald Networkers LLC's Project-2 Go Green's Memberships and Products in any online auction sites is strictly prohibited.

 

Domain Names

Member may not use or attempt to register any of Emerald Networkers LLC or Project-2 Go Green trade names, trademarks, service names, service marks, product names, the Emerald Networkers LLC or Project-2 Go Green’s name, or any derivative thereof, for any internet domain name. An member wishing to use personal domain names to market Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Programs and products may do so, provided the domain name has been approved by Emerald Networkers LLC and the domain points directly to the member's replicating Emerald Networkers LLC's Project-2 Go Green website.

 

Search Engine Marketing

A member wishing to engage in search engine marketing to drive traffic to their approved member website may do so, provided they do not use any of Emerald Networkers LLC's Project-2 Go Green’s trade names or trademarks as search terms or key words. Nor may any deceptive terms such as “direct site,” “official site,” “official Emerald Networkers LLC or Project-2 Go Green websites,” etc., appear in any sponsored links or ads of member that are displayed on any search result page. Neither member website pages nor the sponsored links or ads of member that are displayed on any search result page may contain the phrase “As Seen on TV.”

 

Trademarks and Copyrights

Emerald Networkers LLC will not allow the use of its trade names, trademarks, designs, or symbols by any person, without prior written permission. Members may use only the Emerald Networkers LLC's Project-2 Go Green's logo developed by Emerald Networkers LLC.

Member may not produce for sale or distribution any recorded Emerald Networkers LLC's Project-2 Go Green events and speeches without written permission from Emerald Networkers LLC. Nor may member reproduce for sale or for personal use any recording of Emerald Networkers LLC's Project-2 Go Green produced audio or videotape presentations.

 

Media and Media Inquiries

Membership must not attempt to respond to media inquiries regarding Emerald Networkers LLC's Project-2 Go Green, its products, or their Emerald Networkers LLC's Project-2 Go Green's memberships. All inquiries by any type of media must be immediately referred to Administrative Department. This policy is designed to ensure that accurate and consistent information is provided to the public, as well as a proper public image.

 

Telemarketing

The Federal Trade Commission and the Federal Communications Commission each have laws that restrict telemarketing practices. Both federal agencies (as well as a number of states) have “do not call” regulations as part of their telemarketing laws. Although Emerald Networkers LLC do not consider Members to be “telemarketers” in the traditional sense of the word, these government regulations broadly define the term “telemarketer” and “telemarketing,” so that your inadvertent action of calling someone whose telephone number is listed on the federal “do not call” registry could cause you to violate the law. Moreover, these regulations must not be taken lightly, as they carry significant penalties (up to $11,000.00 per violation). However, Member to Member calls are allowed.

Therefore, Members must not engage in telemarketing to consumers in the operation of their Emerald Networkers LLC's Project-2 Go Green's Membership; but may call family members, friends, associates and businesses. The term “telemarketing” means the placing of one or more telephone calls to consumers to induce the participation in Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Programs. “Cold calls" made to prospective consumers or Members that promote either Emerald Networkers LLC's Project-2 Go Green's products or the Project-2 Go Green's Revenue Sharing and Store Affiliate Programs constitutes telemarketing and is prohibited. However, a telephone call(s) placed to a prospective member or member(a "consumer prospect") is permissible under the following situations:

a) Member has an established relationship with the consumer prospect. An “established relationship” is a relationship between an member and a prospect based on the consumer prospect’s purchase, rental, or lease of goods or services from Member, or a financial transaction between the prospect and Member, within 18 months preceding the date of call to induce the consumer prospect’s purchase of a product or service.

b) The consumer prospect’s personal inquiry or Registration regarding a product or service offered by Member, within the three (3) months immediately preceding the date of such a call.

c) Member receives permission authorizing the call. The authorization must specify the telephone number(s) that member is authorized to call.

d) Member may call family members, personal friends, and acquaintances. An “acquaintance” is someone the member has a first-hand relationship within the preceding three (3) months. However, if member engages in “card collecting” with everyone member meets and subsequently calls them, the FTC may consider this a form of telemarketing that is not subject to this exemption. Thus, if member engages in calling “acquaintances,” he/she must make such calls on an occasional basis only and not make this a routine practice.

In addition, member shall not use automatic telephone dialing systems relative to the operation of their Project-2 Go Green's Memberships. The term “automatic telephone dialing system” means equipment that has the capacity (a) to store or produce telephone numbers to be called, using a random or sequential number generator; and (b) to dial such numbers.

 

By registering to become a member, all Members grant permission to Emerald Networkers LLC's to contact them by telephone, email, and/or fax in reference to Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program and products.

 

Unsolicited Email

Emerald Networkers LLC do not permit Members to send unsolicited emails, unless such emails strictly comply with applicable laws and regulations including, without limitation, the federal CAN SPAM Act. Any email sent by a member that promotes the Project-2 Go Green Program, opportunity, or products must comply with the following:

a) The email must clearly and conspicuously disclose that the message is an advertisement or solicitation.

b) The use of deceptive subject lines and/or false header information is prohibited.

c) The email must include the member's physical mailing address.

d) There must be a functioning return email address to the sender.

e) There must be a functioning opt-out notice in the email that advises the recipient that he or she may reply to the email, via the return email address, to request that future email solicitations or correspondence not be sent to him or her.

f)  All opt-out requests, whether received by email or regular mail, must be honored. If an memberreceives an opt-out request from a recipient of an email, the membermust forward the opt-out request to Project-2 Go Green.

Emerald Networkers LLC may periodically send commercial emails on behalf of Members. By becoming a partnership member, member agrees that the Emerald Networkers LLC may send such emails and that member's email address will be included in such emails, as outlined above. Member shall honor opt-out requests generated as a result of such emails sent by Emerald Networkers LLC.

 

Unsolicited Faxes

Except as provided in this section, member may not use or transmit unsolicited faxes or use an automatic telephone dialing system in relating to the operation of their Emerald Networkers LLC's Project-2 Go Green's Membership. The term “automatic telephone dialing system” means equipment that has the capacity (a) to store or produce telephone numbers to be called, using a random or sequential number generator, and (b) to dial such numbers.

The term “unsolicited faxes” means the transmission via telephone facsimile of any material or information advertising or promoting Emerald Networkers LLC's Project-2 Go Green's Programs, its products, its Compensation Plan, or any other aspect of the Emerald Networkers LLC's Project-2 Go Green programs which is transmitted to any person, except that these terms do not include a fax or e-mail (a) to any person with that person’s prior express invitation or permission, or (b) to any person with whom memberhas an established Membership or personal relationship. The term "established Membership or personal relationship" means a prior or existing relationship formed by a voluntary two-way communication between memberand a person, on the basis of (a) an inquiry, Regisration, purchase, or transaction by the person regarding products offered by such Member, or (b) a personal or familial relationship, which relationship has not been previously terminated by either party.

 

Fraudulent Enrollments

Emerald Networkers LLC strictly and absolutely prohibits fraudulent enrollments. “Fraudulent enrollments” includes: (a) the enrollment of individuals or entities without the knowledge of and/or execution of Emerald Networkers LLC's Project-2 Go Green's Regisration by such individuals or entities; (b) the fraudulent enrollment of an individual or entity as a member; and (c) the enrollment or attempted enrollment of non-existent individuals or entities as Members (“phantoms”).

 

Member Cancellation

Membership is indefinite. Once an member has registered, member has option to upgrade by paying the necessary membership fee and paying thereafter each month to stay active. A member may cancel his or her Membership or remain dormant by not sponsoring or participating in any form of member activity or operation of any other Emerald Networkers LLC's Project-2 Go Green's Programs. During the period of dormancy, if and only if the member has sponsored at least one new member who upgraded, and member's Membership was active and not canceled (whether voluntarily or involuntarily), the member's community will remain in place and follow each month, as long as member remains active to earn commissions from member's community for the life of the Program.

 

Indemnification

A member is fully responsible for all of his or her verbal and written statements made regarding Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Programs, products and the its Compensation Plan that are not expressly contained in official Emerald Networkers LLC's materials. Member agrees to indemnify Emerald Networkers LLC's and Emerald Networkers LLC's directors, officers, employees, and agents, and hold them harmless from any and all liability, including judgments, civil penalties, refunds, attorney fees, court costs, or loss incurred by as a result of member's unauthorized representations or actions. This provision shall survive the termination of the member agreement.

 

Income Claims

The Federal Trade Commission and several states have laws or regulations that regulate or prohibit certain types of income claims and testimonials made by persons engaged in network marketing. While it may be beneficial to provide copies of checks or to disclose earnings, such approaches have legal consequences that can negatively impact Emerald Networkers LLC's Programs, as well as the member making the claim, unless appropriate disclosures required by law are also made contemporaneously with the income claim or earnings representation. Because Emerald Networkers LLC's Project-2 Go Green's Members do not have the data necessary to comply with the legal requirements for making income claims, a Member, presenting or discussing Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Store Affiliate Program or Compensation Plan to prospective Members, may not make income projections, income claims, or disclose his or her Emerald Networkers LLC's Project-2 Go Green's income (including the showing of checks, copies of checks, bank statements, or tax records). Emerald Networkers LLC firmly believe that Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing and Affiliate Program's income potential is great enough to be highly attractive without reporting the earnings of others. As in any successful enterprise, it takes consistent effort over time.

 

Income Disclosure Statement (“IDS”)

Emerald Networkers LLC's Project-2 Go Green's IDS convey truthful, timely, and comprehensive information regarding the income that Emerald Networkers LLC's Project-2 Go Green's Members can earn. A copy of the IDS must be presented to a prospective member (someone who is not currently a member of Emerald Networkers LLC's Project-2 Go Green) anytime the Compensation Plan is presented or discussed or any type of income claim or earnings representation is made.

The terms “income claim” and/or “earnings representation” (collectively “income claim”) include: (1) statements of average member earnings, (2) statements of non-average earnings, (3) statements of earnings ranges, (4) income testimonials, (5) lifestyle claims, and (6) hypothetical claims. Examples of “statements of non-average earnings” include “Our number one member earned $XXX last year” or “Our average (rank) makes $XXX per month.” An example of a “statement of earnings ranges” is “The monthly income for (rank) is $XXX on the low end to $YYY on the high end.”

A lifestyle income claim typically includes statements (or pictures) involving large homes, luxury cars, exotic vacations, or other items suggesting or implying wealth. They also consist of references to the achievement of one’s dreams, having everything one always wanted, and are phrased in terms of “opportunity” or “possibility” or “chance.” Claims such as “My Emerald Networkers LLC's Project-2 Go Green’s income exceeded my salary after six months in the Membership” or “Our Emerald Networkers LLC's Project-2 Go Green's membership has allowed my wife to come home and be a full-time mom” also fall within the purview of “lifestyle” claims.

A hypothetical income claim exists when member attempts to explain the operation of the Compensation Plan through the use of a hypothetical example. Certain assumptions are made regarding the (1) number of Members sponsored, (2) number of community members, (3) average product volume per Member, and (4) total organizational volume. Running these assumptions through the Compensation Plan yields income figures that constitute income claims.

In any public or non-public meetings (eg., a home meeting, one-on-one, regardless of venue) with a prospective member or Members in which the Compensation Plan is discussed or any type of income claim is made, member must either provide the prospect(s) with a copy of the IDS or guide them to where it may be found on official Emerald Networkers LLC's Project-2 Go Green marketing materials or websites.

Copies of the IDS may be printed or downloaded without charge from the corporate website. An member who develops sales aids and tools in which the Compensation Plan or income claims are present must incorporate the most current IDS into each such sales aid or tool prior to submission to Emerald Networkers LLC for review.

 

Commercial Outlets

Member may offer Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program and products from a national chain or national commercial outlets. National outlets are defined as companies that have more than five locations. Members may display or offer Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program and products in any retail establishment. Display of Emerald Networkers LLC's Project-2 Go Green's literature and products are permitted in service-oriented establishments that function by appointment only or provide opportunity for one-on-one interaction with the prospect or customer. 

 

Trade Shows, Expositions and Other Sales Forums

Member may display and/or offer Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program and products at trade shows and professional expositions. Emerald Networkers LLC's Project-2 Go Green do not restrict the number of Members at any given event or trade show. However, it is expected that each member use judgment in determining the appropriate number of participants at any given event. In addition to limiting the number of participants at any given event, Emerald Networkers LLC expect member to work in cooperation with other Emerald Networkers Members and maintain a positive presentation of Emerald Networkers LLC's Project-2 Go Green. Member is expected to be considerate, to follow all Policies and Procedures as outlined in this Statement of Polices, and to refrain from disparaging comments about other Emerald Networkers LLC's Members in order to obtain future customers and prospects. Emerald Networkers LLC reserves the right to refuse member's participation at any function that it does not deem a suitable forum for the promotion of its Programs.

 

Non-solicitation

Emerald Networkers LLC's Members are free to participate in other multilevel or network marketing Membership ventures or marketing opportunities (collectively, “network marketing”). However, during the term of this Agreement, member may directly or indirectly recruit other Emerald Networkers LLC's members for any other network marketing Program.

Following the cancellation of membership, and for a period of six calendar months thereafter, with the exception of a member who is personally sponsored by a former Member, a former member may not recruit any other Emerald Networkers LLC's member for another network marketing Program. Member and Emerald Networkers LLC recognize that because network marketing is conducted through networks of independent contractors dispersed where it is commonly conducted via the internet and telephone, an effort to narrowly limit the geographic scope of this non-solicitation provision would render it wholly ineffective. Therefore, member and Emerald Networkers LLC agree that this non-solicitation provision shall register to all markets in which Emerald Networkers LLC conducts partnership memberships.

The term “Recruit” means the actual or attempted sponsorship, solicitation, enrollment, encouragement, or effort to influence in any other way, either directly, indirectly, or through a third party, another Emerald Networkers LLC's member to enroll or participate in, and/or explain another multilevel marketing, network marketing, or direct sales opportunity. The conduct described in the preceding sentence constitutes recruiting, even if member's actions are in response to an inquiry made by another member.

 

Sale of Competing Goods

Member must not sell, or attempt to sell, any competing Emerald Networkers LLC's Project-2 Go Green Program, products, or services to any Emerald Networkers LLC's Project-2 Go Green's affiliates or members. Any Memberships, product, or services in the same generic categories as Project-2 Go Green's Program, products or services is deemed to be competing, regardless of differences in cost, quality, or other distinguishing factors. However, if a person was already selling a competing product prior to joining Emerald Networkers LLC's Project-2 Go Green programs, will not disallow person from joining Emerald Networkers LLC's Project-2 Go Green's Programs.

 

 

Activity Reports

Activity Reports are available for member access and viewing at Emerald Networkers LLC's official website. Member access to their Activity Reports is password protected. All Activity Reports and the information contained therein are confidential and constitute proprietary information and Membership trade secrets belonging to Emerald Networkers LLC. Member and Emerald Networkers LLC agree that, but for this agreement of confidentiality and nondisclosure, would not provide Activity Reports to the Member. An member shall not, on his or her own behalf, or on behalf of any other person, partnership, association, corporation, or other entity:

 

  • Directly or indirectly disclose any information contained in any Activity Report to any third party;
  • Directly or indirectly disclose the password or other access code to his or her Activity Report;
  • Use the information to compete with Emerald Networkers LLC or for any purpose other than promoting Emerald Networkers LLC's Project-2 Go Green Revenue Sharing and Store Affiliate Programs and or products; and/or
  • Recruit or Refer any member of Emerald Networkers LLC's Project-2 Go Green's Revenue Sharing Program listed on any report or in any manner attempt to influence or induce any member to alter their relationship with Emerald Networkers LLC's.

 

Leads Received from Emerald Networkers LLC

Emerald Networkers LLC's Project-2 Go Green rpograms may develop a lead generation Membership whereby Emerald Networkers LLC acquires leads of prospective members and Members and sells or otherwise distributes them to qualified Members. When an member receives or purchases any such lead from Emerald Networkers LLC, the member agrees that he or she shall use such lead solely for the purpose of promoting Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Programs and products to the prospective Member. The member further agrees that he/she shall not use the information contained in the lead to promote any non-Emerald Networkers LLC's product, service, or opportunity.

 

CROSS SPONSORING

Cross sponsoring is allowed. “Cross sponsoring” is defined as the enrollment, solicitation or recruitment of an individual who or entity that already has a current Membership with Emerald Networkers LLC.

The use of a spouse’s or relative’s name, trade names, DBAs, assumed names, corporations, partnerships, trusts, federal ID numbers, fictitious ID numbers, any straw-man, or other artifice to circumvent this policy is not prohibited. However, member will have to maintain active membership and Refer under each additional membership to earn commissions.

Member shall not demean, discredit, or defame other Emerald Networkers LLC's members in an attempt to entice another member to become part of the first member's community organization. This policy shall not prohibit the transfer of Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Program membership and Referrals in accordance with these policies.

 

Errors or Questions

If member has questions about or believes any errors have been made regarding commissions, Activity Reports, or charges, member must notify Emerald Networkers LLC in writing within thirty (30) days of the date of the purported error or incident in question. Emerald Networkers LLC will not be responsible for any errors, omissions, or problems not reported to the Emerald Networkers LLC within thirty (30) days.

 

Governmental Approval or Endorsement

Neither federal nor state regulatory agencies nor officials approve or endorse any direct selling or network marketing companies or Memberships. Therefore, member shall not represent or imply that Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Program or its Compensation Plan have been "approved," "endorsed," or otherwise sanctioned by any government agency.

 

IDENTIFICATION

All U.S. Members are required to provide their Social Security Number or a Federal Employer Identification Number to Emerald Networkers LLC, which uses this information for income reporting purposes only. Upon upgrading to become Partnership Member, Emerald Networkers LLC will provide a unique member Identification Number to the member by which s/he will be identified. This number will be used to place sponsorship and track commissions.

Under its right of contract, Emerald Networkers LLC retains the right to reject any Regisration that does not include a valid Social Security Number, and Federal Employer Identification Number.

 

Income Taxes

Each member is responsible for paying local, state, and federal taxes on any income generated in Emerald Networkers LLC's Project-2 Go Green Revenue Sharing and Store Affiliate Programs. If an entity is tax exempt, the federal tax identification number must be provided to Emerald Networkers LLC. Every year, Emerald Networkers LLC will provide an IRS Form 1099-MISC (Non-employee Compensation) earnings statement to each U.S. resident who: 1) had earnings in excess of the annual minimum as established by the Internal Revenue Service in the previous calendar year; or 2) made purchases during the previous calendar year in excess of $5,000.

 

International Marketing

Because of environmental issues and critical legal and tax considerations, Emerald Networkers LLC must limit Referrals of Emerald Networkers LLC's Project-2 Go Green Revenue Sharing and Store Affiliate Programs and products and the presentation of Emerald Networkers LLC's Project-2 Go Green Programs to prospective members and Members located within the United States,  U.S. territories. Emerald Networkers LLC shall hold member personally liable for losses related to illegal Membership activities in unauthorized markets, and member agrees to indemnify Emerald Networkers LLC's directors, officers, employees, and agents, and to hold them harmless from any and all liability including judgments, civil penalties, refunds, attorney fees, court costs, or lost Membership incurred by Emerald Networkers LLC as a result of an member's unauthorized violation of this policy. This provision shall survive the termination of the membership.

Accordingly, Members are authorized to offer Emerald Networkers LLC's Project-2 go Green Revenue Sharing and Affiliate Program and products to Refer Members only in the countries in which Emerald Networkers LLC's announced in official literature. Emerald Networkers LLC's products or sales aids cannot be shipped into or sold in any foreign country. Member may offer, give, or transfer Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Program, products or sales aids only in countries authorized. In addition, no member may, in any unauthorized country: (a) conduct sales, enrollment, or training meetings; (b) enroll or attempt to enroll potential members or Members; or (c) conduct any other activity for the purpose of offering Emerald Networkers LLC's Project-2 Go Green Revenue Sharing Program and products to establish a marketing organization. Member understands that conducting any pre-launch activity in countries not officially open for Emerald Networkers LLC's Programs is against Emerald Networkers LLC's policy and may be illegal in some countries.

 

Adherence to Laws and Ordinances

Members shall comply with all federal, state, and local laws and regulations in the conduct of their Membership. Many cities and counties have laws regulating certain home-based Memberships. In most cases, these ordinances are not applicable to Members because of the nature of their Membership. However, Members must obey those laws that do register to them. If a city or county official tells an member that an ordinance applies to him or her, the member shall be polite and cooperative, and immediately send a copy of the ordinance to Emerald Networkers LLC. In most cases, there are exceptions to the ordinance.

 

Minors

A person who is recognized as a minor in his/her state of residence may become a Emerald Networkers LLC's Partnership Member, but shall not enroll or recruit minors into Emerald Networkers LLC's Project-2 Go Green Revenue Sharing and Affiliate Programs without supervision and written approval from legal guardians.

 

Position Holder Restrictions

Individual may operate or have an ownership interest, legal or equitable, as a sole proprietorship, partner, shareholder, trustee, or beneficiary any Emerald Networkers LLC's Programs. Member may have a simultaneous beneficial interest or participate in more than one community under different sponsors. A beneficial interest includes, but is not limited to, any ownership, interest, equitable interest, or any rights to present or future benefits, financial or otherwise, unless otherwise approved by Emerald Networkers LLC. Member shall not have an ownership interest in, operational or management control of, or derive any benefits directly or indirectly from any subsequent team Membership not in the same line of sponsorship as the individual’s initial Membership.

Member's position may be converted into a Membership entity. To maintain the integrity of Emerald Networkers LLC's Compensation Plan, an individual wishing to participate as an entity may maintain a separate affiliation under his or her name.

 

SEPARATION OF Emerald Networkers LLC's MEMBERSHIP

Emerald Networkers LLC's members sometimes register or enroll as husband-wife, regular partnerships, corporations, or trusts. At such time as a marriage may end in divorce or a corporation, partnership, or trust (the latter three entities are collectively referred to herein as “entities”) may dissolve, arrangements must be made to ensure that any separation or division of the Membership is accomplished so as not to adversely affect the interests and income of other members’ Referrals. If the separating parties fail to provide for the best interests of other Members and the Emerald Networkers LLC in a timely fashion, Emerald Networkers LLC will involuntarily terminate the member's Membership.

During the divorce or entity dissolution process, the parties must adopt one of the following methods of operation:

  • One of the parties may, with consent of the other(s), maintain the Emerald Networkers LLC's Membership pursuant to an assignment in writing whereby the relinquishing spouse, shareholders, partners, or trustees authorize to deal directly and solely with the other spouse or non-relinquishing shareholder, partner, or trustee.
  • The parties may continue to maintain P2GGN's Membership jointly on a “Membership-as-usual” basis, whereupon all compensation paid by Emerald Networkers LLC will be paid according to the status quo as it existed prior to the divorce filing or dissolution proceedings. This is the default procedure if the parties do not agree on the format set forth above.

Under no circumstances will the member's Membership of divorcing spouses or a dissolving Membership entity be divided and or split commissions between divorcing spouses or members of dissolving entities. will recognize only one member's Membership and will pay one individual or entity per Membership. In the event that parties to a divorce or dissolution proceeding are unable to resolve a dispute over the disposition of commissions and ownership of the Partnership Membership in a timely fashion as determined by the Emerald Networkers LLC, the member's Agreement shall be involuntarily canceled.

IF A FORMER SPOUSE HAS COMPLETELY RELINQUISHED ALL RIGHTS IN THE ORIGINAL Emerald Networkers LLC's MEMBERSHIP PURSUANT TO A DIVORCE, HE OR SHE IS THEREAFTER FREE TO ENROLL UNDER ANY Refer OF HIS OR HER CHOOSING. IN THE CASE OF MEMBERSHIP ENTITY DISSOLUTIONS, THE FORMER PARTNER, SHAREHOLDER, MEMBER, OR OTHER ENTITY MEMBER WHO RETAINS NO INTEREST IN THE MEMBERSHIP MUST WAIT UNTIL THE DATE OF THE FINAL DISSOLUTION BEFORE RE-ENROLLING AS A NEW MEMBER. IN EITHER CASE, HOWEVER, THE FORMER SPOUSE OR MEMBERSHIP MEMBER SHALL HAVE NO RIGHTS TO ANY MEMBER IN THEIR FORMER ORGANIZATION OR TO ANY FORMER MEMBER. THEY MUST DEVELOP A NEW MEMBERSHIP IN THE SAME MANNER AS WOULD ANY OTHER NEW MEMBER.

 

Sponsoring

All Active Partnership Members in good standing have the right to Refer and enroll others into Emerald Networkers LLC's Partnership Membership program. Each prospective Member has the ultimate right to choose his or her own Refer. If two Members claim to be the Refer of the same new Member, Emerald Networkers LLC shall regard the first Registration supported by browser time stamp as controlling.

 

Succession

Upon the death or incapacitation of Member, his or her Membership may be passed to his or her heirs. Appropriate legal documentation must be submitted to Emerald Networkers LLC to ensure the transfer is proper. Accordingly, member should consult an attorney to assist him or her in the preparation of a will or other testamentary instrument. Whenever a Emerald Networkers LLC's Partnership Membership is transferred by a will or other testamentary process, the beneficiary acquires the right to collect all commissions of the deceased member, provided the following qualifications are met. The successor(s) must:

  • Register and upgrade to become VIP member;
  • Comply with terms and provisions of the Agreement; and Emerald Networkers LLC's Partnership Member Program;
  • Meet all of the qualifications for the deceased member's status.
  • Commissions from Emerald Networkers LLC's Partnership Membership transferred pursuant to this section will be paid in one transaction jointly to the devisees. If the Membership is bequeathed to joint devisees, they must form a Membership entity and acquire a federal Taxpayer Identification number. Emerald Networkers LLC will issue one Form 1099 to the Partnership Membership entity.

 

Transfer upon Death of a member

To effectuate a testamentary transfer of a Emerald Networkers LLC's Membership, the successor must provide the following to : (1) an original death certificate; (2) a notarized copy of the will or other instrument establishing the successor’s right to the Emerald Networkers LLC's Membership; and (3) a completed and executed member Agreement.

 

Transfer upon Incapacitation of a member

To effectuate a transfer of a Emerald Networkers LLC's Partnership Membership because of incapacity, the successor must provide the following to : (1) a notarized copy of an appointment as trustee or conservator; (2) a notarized copy of the trust document or other documentation establishing the trustee’s right to administer the Emerald Networkers LLC's Partnership Membership; and (3) a completed member Agreement executed by the trustee or conservator.

 

Change of Address, Telephone, and E-mail Addresses

To ensure timely delivery of products, support materials, and commissions, it is critically important that Emerald Networkers LLC's member profiles are always kept current. Members planning to change e-mail address or move must update their new address and telephone numbers in the member area of Emerald Networkers LLC's website.

 

DISPARAGING

Emerald Networkers LLC wants to provide its Members with the best products, Compensation Plan, and service in the industry. Accordingly, we value constructive criticisms and comments. All such comments should be submitted by email or in writing to the member Support. Remember, to best serve Members, we must hear from them. While Emerald Networkers LLC welcomes constructive input, negative comments and remarks made in the field by Members about PProject-2 Go Green, its products, or Compensation Plan serve no purpose other than to sour the enthusiasm of other Emerald Networkers LLC's Members. For this reason, member agrees to not encourage their sponsored members directly or indirectly or to act themselves, in any capacity or manner to make, express, transmit, speak, write, verbalize, or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support, or participate in any of the foregoing), any statements that defame, disparage, are inimical to, or damage the reputation of Emerald Networkers LLC, its Members, managers, employees, officers, directors, executives, agents, representatives, or products and services.

 

REPORTING POLICY VIOLATIONS

An member who observes a policy violation by another member should submit a written report of the violation directly to the attention of the Administration. Details of the incidents, such as dates, number of occurrences, person(s) involved, and any supporting documentation, should be included in the report.

 

Sponsorship Limitation

There are no limitations on the number of members that can be sponsored.

 

No Territory Restrictions - USA Residents Only!

There are no exclusive territories granted to anyone. No franchise fees are required.

 

Reports

All information provided online as activity reports, including but not limited to sponsoring activity, is believed to be accurate and reliable. Nevertheless, due to various factors, including but not limited to, the inherent possibility of human and mechanical error; the accuracy, completeness, and timeliness of orders; denial of credit card and electronic check payments; and credit card and electronic check charge backs, the information is not guaranteed by Emerald Networkers LLC or any persons creating or transmitting the information.

ALL INFORMATION IS PROVIDED "AS IS" WITHOUT WARRANTIES, EXPRESS OR IMPLIED, OR REPRESENTATIONS OF ANY KIND WHATSOEVER. IN PARTICULAR, BUT WITHOUT LIMITATION, THERE SHALL BE NO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, AND/OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION WILL IN NO EVENT BE LIABLE TO ANY MEMBER OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES THAT ARISE OUT OF THE USE OF OR ACCESS TO PERSONAL AND GROUP VOLUME INFORMATION (INCLUDING BUT NOT LIMITED TO LOST PROFITS, BONUSES, OR COMMISSIONS, LOSS OF OPPORTUNITY, AND DAMAGES THAT MAY RESULT FROM INACCURACY, INCOMPLETENESS, INCONVENIENCE, DELAY, OR LOSS OF THE USE OF THE INFORMATION), EVEN IF EMERALD NETWORKERS LLC OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OR OTHER PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE NO RESPONSIBILITY OR LIABILITY TO memberOR ANYONE ELSE UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, PRODUCTS LIABILITY OR OTHER THEORY WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR TERMS AND CONDITIONS RELATED THERETO.

 

DISCIPLINARY SANCTIONS

Violation of the Agreement, this Statement of Policies, or violation of any common law duty, including but not limited to any applicable duty of loyalty, any illegal, fraudulent, deceptive or unethical conduct, or any act or omission by memberthat, in the sole discretion of Emerald Networkers LLC may damage its reputation or goodwill (such damaging act or omission need not be related to Emerald Networkers LLC's ProgramS), may result, at Emerald Networkers LLC's discretion, in one or more of the following corrective measures:

  • Issuance of a written warning or admonition;

  • Requiring of member to take immediate corrective measures;

  • Imposition of a fine, which may be withheld from commissions and or bonuses;

  • Withholding from member all or part of member's commissions during the period that Emerald Networkers LLC is investigating any misconduct or alleged violations of membership. If membership is canceled for disciplinary reasons, member will not be entitled to recover any commissions withheld during the investigation period;

  • Re-assignment of all or part of their membership organization;

  • Involuntary termination of the offender’s membership;

  • Termination of the offending member's website and Emerald Networkers LLC's member area access;

  • Any other measure expressly allowed within any provision of the membership or which Emerald Networkers LLC deems practicable to implement and appropriate to equitably resolve injuries caused partially or exclusively by member's policy violation;

  • For situations deemed appropriate by Emerald Networkers LLC, Emerald Networkers LLC may institute legal proceedings for monetary and/or equitable relief.

  • Each violation is reviewed on a case-by-case basis, and all disciplinary actions are at the sole discretion of Emerald Networkers LLC.

 

Grievances and Complaints

When member has a grievance or complaint with another member regarding any practice or conduct in relationship to their respective Emerald Networkers LLC's Memberships, the complaining member should first report the problem to his or her Refer, who should review the matter and try to resolve it with the other party’s Upline Refer. If the matter involves interpretation or violation of Emerald Networkers LLC's policy, it must be reported in writing to the Emerald Networkers LLC's Administrative Department. The Administrative Department will review the facts and attempt to resolve it.

 

Mediation

Prior to instituting arbitration, the parties shall in good faith attempt to resolve any dispute arising from or relating to the Agreement through non-binding mediation. One individual who is mutually acceptable to the parties shall be appointed as mediator. The mediator’s fees and costs, as well as the costs of holding and conducting the mediation, shall be divided equally between the parties. Each party shall pay its portion of the anticipated shared fees and costs at least ten (10) days in advance of the mediation. Each party shall pay its own attorney’s fees, costs, and individual expenses associated with conducting and attending the mediation. Mediation shall be held in Maricopa, Arizona and shall last no more than two (2) business days.

 

Arbitration

If mediation is unsuccessful, any controversy or claim arising out of or relating to the Membership, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Member waives all rights to trial by jury or to any court. All arbitration proceedings shall be held in Maricopa County, Arizona. All parties shall be entitled to all discovery rights pursuant to the Federal Rules of Civil Procedure. There shall be one arbitrator, an attorney at law, who shall have expertise in business law transactions with a strong preference being an attorney knowledgeable in the direct-selling industry, selected from the panel that the American Arbitration Panel provides. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to a judgment in a court of competent jurisdiction in Maricopa County, Arizona. This agreement to arbitration shall survive any termination or expiration of the Agreement.

Notwithstanding the foregoing, nothing in this Statement of Policies shall prevent Emerald Networkers LLC from registering to and obtaining from any court having jurisdiction a writ of attachment, a temporary injunction, preliminary injunction, permanent injunction, or other relief available to safeguard and protect Emerald Networkers LLC's interest prior to, during, or following the filing of any arbitration or other proceeding or pending the rendition of a decision or award in connection with any arbitration or other proceeding.

 

Governing Law, Jurisdiction, and Venue

Jurisdiction and venue of any matter not subject to arbitration shall reside exclusively in Maricopa County, Arizona. The Federal Arbitration Act shall govern all matters relating to arbitration. The law of the State of Arizona shall govern all other matters relating to or arising from the Agreement.

 

Payments

Emerald Networkers LLC accepts payments in the forms of Visa, AMEX, Discover, and MasterCard through Paypal. Upgrades will not process if not accompanied by full and proper payment. Emerald Networkers LLC will not be responsible for the loss of any commissions or other payments because of declined payments, delays, or errors in charges, receiving agreements, or other acts outside the control of Emerald Networkers LLC.

 

Involuntary Cancellation

Member's violation of any of the terms of the Agreement, including any amendments that may be made by Emerald Networkers LLC in its sole discretion, may result in any of the sanctions listed, including the involuntary cancellation of his or her membership. Cancellation shall be effective on the date on which written notice is mailed, faxed, or delivered by email, to the member's last known addresses (or fax number), or to his/her attorney, or when the member receives actual notice of cancellation, whichever occurs first.

Emerald Networkers LLC, reserves the right to terminate all memberships upon thirty (30) days written notice in the event that it elects to (1) cease Membership operations; or (2) dissolve as a corporate entity.

 

Voluntary Cancellation

A participant in Emerald Networkers LLC's Programs can cancel at any time, regardless of reason in Member area.

 

The terms of this agreement

The Terms of This Agreement is lifetime; Emerald Networkers LLC reserves the right to terminate all Emerald Networkers LLC's Memberships upon 30 days notice if Emerald Networkers LLC elects to: (1) cease Membership operations; (2) dissolve as a Membership entity; or (3) terminate distribution of its products and/or services. If the decision is made to terminate program, all commissions earned will paid as usual. Member may cancel Membership at any time and for any reason.
